Maritime Bridge Japan Terms and Conditions of Use

What are the Terms and Conditions of Use for Subscribers to the News Site?
These Terms and Conditions of Use set out the rules which subscribers and users of the news site must follow, as well as the terms and conditions under which the site operator provides its services. Typically, they include provisions such as:

  • Subscription plans, fees, and payment methods (e.g., monthly fee, credit card payment)
  • Conditions of use for the content (e.g., prohibition of reproduction, personal use only)
  • Contract period and cancellation procedures
  • Measures in the event of service disruptions (e.g., limitation of liability)
  • Prohibited acts (e.g., unauthorised access, account sharing)

Article 1 (Application of Terms)

These Terms shall apply to all services provided by Maritime Bridge Japan (hereinafter, “the Company”). The services include all those accessible via a user ID and password. Users (hereinafter, “Members”) shall use the services upon consenting to these Terms.

Article 2 (Description of Services)

  1. The Company shall provide Members with articles, proprietary content, data, audio, video, systems, and other materials exclusively via electronic means.
  2. The Company may, without prior notice to Members, add to, modify, delete, or partially amend the contents of the services, and Members shall be deemed to have consented to such changes.
  3. The Company accepts no liability whatsoever for any changes made to the services.

Article 3 (Application for and Acceptance of Use)

  1. Applicants wishing to use the services must complete the prescribed procedures in accordance with these Terms.
  2. Applicants warrant that the information they register at the time of application is accurate and not false, and the Company shall bear no liability for any damages arising therefrom.
  3. Upon acceptance of the application, the Company shall issue and notify the applicant of an electronic user ID and password.
  4. The Company may refuse or cancel an application in the following circumstances, and applicants shall have no right of objection:
    • If false information is registered
    • If the applicant has previously been suspended or terminated for breach of terms or non-payment
    • If the applicant cannot be contacted or the information is incomplete
    • If the Company deems the application inappropriate

Article 4 (Corporate Members)

Where a corporation becomes a Member, the individuals belonging to such corporation shall be entitled to use the services. Corporate Members shall ensure that their users comply with these Terms.

Article 5 (ID and Password Management)

  1. Members shall be responsible for managing their user ID and password and shall not lend, transfer, or share them with third parties. Shared use of a single password by multiple persons is strictly prohibited.
  2. The Company shall bear no liability for any damages resulting from inadequate management, misuse, or third-party use of IDs or passwords.
  3. In the event of a forgotten password, Members must promptly contact the Company’s partner, Codoc Inc., via the inquiry form or at info@codoc.jp or info@maritime-bridge.jp　, and follow the Company’s instructions.

Article 6 (Changes to Registered Information)

  1. Members must promptly notify the Company of any changes to registered information using the prescribed method.
  2. The Company shall bear no liability for any disadvantage resulting from failure to notify such changes.
  3. Registered information may be disclosed to third parties where required by law.

Article 7 (Fees and Contract Period)

  1. Fees, payment methods, and contract periods shall be as separately stipulated by the Company.
  2. Paid subscription plans shall automatically renew on a monthly or annual basis. Mid-term cancellations or changes are not permitted.
  3. Fees already paid are non-refundable under any circumstances.

Article 8 (Member’s System Requirements)

Members shall, at their own cost, prepare the necessary communication equipment, software, and communication environment to use the services. The Company shall bear no liability for related issues.

Article 9 (Handling of Personal and User Information)

  1. The Company shall handle Members’ personal information appropriately in accordance with the “Maritime Bridge Japan Privacy Policy.”
  2. Browsing history and similar information obtained may be used to improve convenience, for marketing, or for advertising purposes; however, no personally identifiable information shall be included.

Article 10 (Prohibited Acts)

Members shall not engage in the following acts:

  • Infringement of rights of the Company or third parties
  • Defamation, slander, or discriminatory acts against others
  • False registration or impersonation
  • Commercial use of the services or content
  • Criminal or unlawful acts
  • Unauthorised access or transmission of viruses
  • Other acts deemed inappropriate by the Company or in violation of these Terms

Article 11 (Suspension or Revocation of Membership)

  1. The Company may suspend or revoke a Member’s membership without prior notice in the following circumstances:
    • Breach of these Terms
    • False declarations or acts obstructing operations
    • Other acts deemed inappropriate by the Company
  2. The Company shall bear no liability for damages arising from suspension or revocation.

Article 12 (Intellectual Property Rights)

  1. Copyrights, trademarks, and all other intellectual property rights relating to the services shall belong to the Company or its licensors.
  2. Members may not use the content beyond the scope of private use.

Article 13 (Changes, Suspension, or Discontinuation of Services)

  1. The Company may change, suspend, or discontinue the services as it deems necessary.
  2. In the event of natural disasters, war, or system failures, the Company may suspend services without prior notice.
  3. The Company shall bear no liability for damages arising from such suspension or discontinuation.

Article 14 (Disclaimer)

  1. The Company makes no warranty regarding the accuracy or safety of its content.
  2. The Company shall bear no liability for any damages arising from use of the services.
  3. The Company shall bear no liability for the content of external linked sites.

Article 15 (Compensation for Damages)

Members shall be liable to compensate the Company or third parties for any damages caused by breach of these Terms.

Article 16 (Termination of Use Contract)

  1. Members wishing to terminate their use of the services must follow the prescribed procedures.
  2. The Company may terminate the use contract without notice if a Member breaches these Terms.

Article 17 (Amendment of Terms)

  1. The Company may amend these Terms without the consent of Members.
  2. The amended Terms shall take effect upon publication on the Company’s website.
  3. Continued use of the services by Members shall be deemed acceptance of the amendments.

Article 18 (Governing Law and Jurisdiction)

These Terms shall be governed by Japanese law. Any disputes arising in connection with the services shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

たとえば、利用規約にはこんな内容がよく書かれています：

  • 契約期間や解約方法

　では、Maritime Bridge Japanの利用規約を以下に示します。最初に英語、次に日本語の利用規約があります。講読のお申込みの前には必ず全体に目をお通しください。

第1条（規約の適用）

本規約は、Maritime Bridge Japan（以下、「当社」といいます）が提供する、Maritime Bridge Japanの全てのサービス（以下、「本サービス」といいます）に適用されます。本サービスは、ユーザーIDおよびパスワードを利用してアクセスするすべてのサービスを含みます。利用者（以下、「会員」といいます）は、本規約に同意した上で本サービスを利用するものとします。

第2条（サービス内容）

  1. 本サービスは、当社が提供する記事、独自コンテンツ、データ、音声、動画、システム等を、電子版を通じて会員に限定して提供するものです。
  2. 当社は、会員への事前通知なく、本サービスの内容を追加、変更、削除、または部分改廃できるものとし、会員はこれを承諾するものとします。
  3. 本サービスの内容変更に関し、当社は一切の責任を負いません。

第3条（サービス利用申込および承諾）

  1. 本サービスの利用希望者は、本規約に基づき所定の手続きを経て申込を行います。
  2. 申込者は、申込時に登録する情報に不備、虚偽がないことを保証し、万一これによって損害が生じても当社は一切責任を負いません。
  3. 当社が申込を承諾した場合、電子版ユーザーIDおよびパスワードを発行し、申込者に通知します。
  4. 以下の場合、当社は申込を拒否または承諾後に取り消すことができ、申込者は異議を申し立てることはできません。
    • 虚偽の登録が判明した場合
    • 過去に規約違反、料金滞納等によりサービス利用を停止されたことがある場合
    • 連絡不能または情報に不備がある場合
    • 不適切と当社が判断した場合

第4条（法人会員）

法人が会員となる場合、その法人に所属する者が本サービスを利用するものとします。法人会員は、利用者に対して本規約の遵守を徹底させる義務を負います。

第5条（IDおよびパスワード管理）

  1. 会員は自己の責任でユーザーIDおよびパスワードを管理し、第三者に貸与、譲渡、共有してはなりません。１パスワードを複数人で使い回すことは禁止させていただきます。
  2. IDまたはパスワードの不適切な管理、使用上の過誤、第三者使用等による損害について、当社は一切責任を負いません。
  3. パスワードを失念した場合、会員は速やかに当社と提携する株式会社codcocの案内フォーム、info@codoc.jp　もしくは　info@maritime-bride.jp に連絡し、当社の指示に従うものとします。

第6条（登録情報の変更）

  1. 会員は登録情報に変更が生じた場合、速やかに所定の方法で届け出なければなりません。
  2. 変更届がなされなかったことにより生じた不利益に関し、当社は一切責任を負いません。
  3. 法令に基づき、必要に応じて登録情報を第三者に開示する場合があります。

第7条（利用料金および契約期間）

  1. 利用料金、支払方法、契約期間等は、当社が別途定めた条件に従うものとします。
  2. 有料プランは、契約期間（１ヶ月12ヶ月）ごとに自動更新されます。途中解約や変更はできません。
  3. 既に支払われた利用料金は、いかなる場合でも返金いたしません。

第8条（利用者が準備するシステム）

会員は本サービス利用に必要な通信機器、ソフトウェア、通信環境を自己負担で準備するものとし、これに関連するトラブルについて当社は責任を負いません。

第9条（個人情報および利用者情報の取り扱い）

  1. 当社は会員の個人情報を「Maritime Bridge Japanプライバシーポリシー」に従って適切に取り扱います。
  2. 取得した閲覧履歴情報等は、利便性向上、マーケティング、広告目的で利用する場合がありますが、個人を特定する情報は含まれません。

第10条（禁止事項）

会員は、以下の行為を行ってはなりません。

  • 当社または第三者の権利侵害行為
  • 他者への誹謗中傷、差別行為
  • 虚偽の登録、なりすまし行為
  • 本サービスまたはコンテンツの営利目的利用
  • 犯罪行為、違法行為
  • 不正アクセス、ウイルス送信
  • 本規約違反その他当社が不適切と判断する行為

第11条（会員資格の中断・取消）

  1. 以下の場合、当社は会員資格を事前通知なしに中断または取消すことができます。
    • 本規約に違反した場合
    • 虚偽の申告、運営妨害行為を行った場合
    • その他不適切と判断した場合
  2. 会員資格取消による損害について、当社は一切責任を負いません。

第12条（知的財産権）

  1. 本サービスに関する著作権、商標権その他の知的財産権は、当社または当社にライセンスを許諾する第三者に帰属します。
  2. 会員は、私的利用の範囲を超えて本サービスのコンテンツを使用することはできません。

第13条（本サービスの変更・中止・中断）

  1. 当社は、必要と判断した場合、本サービスの内容変更、中止、中断を行うことができます。
  2. 天災、戦争、システム障害等により、事前通知なくサービスを中断する場合があります。
  3. 本サービス停止、中止、中断によって生じた損害について当社は責任を負いません。

第14条（保証の否認・免責事項）

  1. コンテンツの正確性、安全性について当社は保証しません。
  2. 本サービスの利用により生じた損害について、当社は一切責任を負いません。
  3. 外部リンク先の内容についても当社は一切責任を負いません。

第15条（損害賠償）

会員が本規約に違反し、当社または第三者に損害を与えた場合、当該会員はその損害を賠償する責任を負うものとします。

第16条（利用契約の終了）

  1. 会員が本サービスの利用終了を希望する場合、所定の手続により届け出るものとします。
  2. 当社は、会員が本規約に違反した場合、通知なしに利用契約を解除できます。

第17条（利用規約の変更）

  1. 当社は、会員の承諾なく本規約を変更できるものとします。
  2. 変更後の本規約は、当社サイトに掲載された時点で効力を生じます。
  3. 会員が引き続きサービスを利用する場合、変更を承諾したものとみなします。

第18条（準拠法および管轄裁判所）

本規約は日本法に準拠し、本サービスに関して訴訟が生じた場合、東京地方裁判所を第一審の専属的合意管轄裁判所とします。
